Position Overview:
Overlay Capital is seeking a principal to join the investment team in our Atlanta office. This role sits at the core of the deal team, working directly with senior leadership to source, evaluate, and execute investments end-to-end.
The Principal will play a critical role in driving diligence, managing pipeline, and supporting Investment Committee processes, while demonstrating independent investment judgment and sector expertise. The role will work across our venture and growth equity strategies, with a primary focus on our Waste & Materials and Fusion Partners II funds.
Key Responsibilities:
- Originate new investment opportunities across core focus areas, developing proprietary pipeline through founder and ecosystem relationships
- Lead and own investments end-to-end, from sourcing through diligence, execution, and post-investment engagement
- Build and manage the development of investment theses, memos, and supporting analysis for IC review
- Conduct market research, competitive analysis, and thematic work across core focus areas
- Develop financial models and support deep analytical work
- Work closely with portfolio companies post-investment, including supporting strategic initiatives, follow-on financings, and ongoing performance tracking
- Contribute to investment team-wide initiatives, including fund strategy, LP materials, and thematic research
What We’re Looking For:
- 4-6+ years of relevant experience in venture capital, private equity, or growth equity
- Experience leading investments end-to-end
- Demonstrated ability to source or originate investment opportunities
- Strong analytical and financial modeling skills
- Track record of sound investment judgment and decision-making
- Demonstrated interest in energy, infrastructure, materials, or adjacent sectors
- Ability to operate in a fast-paced, high-autonomy environment with strong attention to detail and full ownership mentality
- Bachelor’s degree in Finance, Economics, or a related field
- MBA or equivalent advanced degree preferred
